Terms of Service

RecoverPing is a multi-tenant SaaS platform that helps businesses recover failed Stripe subscription payments by sending automated SMS messages and emails to their customers via configurable recovery flows. The Service connects to your Stripe account via a restricted API key and processes Stripe webhook events on your behalf.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. By using the Service you represent that you meet these requirements.

You are responsible for maintaining the security of your account credentials, including your Stripe API key. Notify us immediately at legal@recoverping.com if you suspect unauthorised access. We are not liable for losses resulting from compromised credentials.

You may not share your account or allow third parties to access the Service through your credentials.

You agree not to use the Service to:

• Send unsolicited messages (spam) to contacts who have not consented to receive communications from you.
• Violate any applicable law or regulation, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, GDPR, CASL, or any other telemarketing or data protection law in your jurisdiction.
• Send messages that are abusive, fraudulent, threatening, or misleading.
• Attempt to reverse-engineer, scrape, or interfere with the Service or its underlying infrastructure.
• Exceed plan SMS/email limits by circumventing quota controls.

You are solely responsible for ensuring that your use of the Service complies with all applicable laws, including laws governing SMS and email marketing, consumer protection, and data privacy. In particular:

• TCPA (US) — You must have obtained prior express written consent from each recipient before sending automated SMS messages. You are responsible for honouring opt-out requests promptly.
• GDPR / UK GDPR (EU/UK) — You act as the data controller for your customers' personal data. You must have a lawful basis for processing and for sending marketing communications.
• CAN-SPAM / CASL — You are responsible for compliance with applicable email marketing laws in your jurisdiction.

We provide the delivery infrastructure; we are not responsible for the content of your messages or your compliance with applicable law. You indemnify us against any claims arising from your non-compliance.

Access to the Service requires a paid subscription. Fees are billed monthly in advance via Stripe. By subscribing you authorise us to charge your payment method on a recurring basis.

• Cancellation — You may cancel at any time from your billing settings. Your subscription remains active until the end of the current billing period. No partial refunds are issued for unused time.
• Failure to pay — If a payment fails and is not resolved within 7 days, we may suspend or terminate your account.
• Plan changes — Upgrades take effect immediately and are prorated. Downgrades take effect at the next billing cycle.
• Price changes — We will give 30 days' notice before changing subscription prices. Continued use after the notice period constitutes acceptance.

The Service connects to Stripe using a restricted API key you provide. You are responsible for keeping this key up to date and for setting the minimum permissions required (read invoices, read customers, create customer portal sessions). We will never ask for your full Stripe secret key.

Your use of Stripe is governed by Stripe's terms of service. We are not responsible for Stripe's availability, accuracy, or actions.

The Service, including its design, code, trademarks, and content, is owned by RecoverPing and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks or branding.

You retain ownership of any templates, content, and data you create through the Service. You grant us a limited licence to process and store that content solely to provide the Service.

Important — please read carefully

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure.
• Any specific recovery rate will be achieved. Recovery rates depend on factors outside our control, including your customers' behaviour and Stripe's retry logic.
• SMS or email messages will be delivered — delivery depends on Twilio, your email infrastructure, and the recipient's carrier or email provider.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RECOVERPING AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF REVENUE, PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

You agree to indemnify, defend, and hold harmless RecoverPing and its officers, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law, including TCPA or GDPR; or (d) any content you send through the Service.

You may terminate your account at any time by cancelling your subscription and contacting us at legal@recoverping.com.

We may suspend or terminate your account immediately and without notice if you violate these Terms, engage in fraudulent activity, or if required to do so by law. Upon termination, your right to use the Service ceases immediately. Sections 8–14 survive termination.

We may modify the Service or these Terms at any time. We will provide 14 days' notice of material changes to these Terms via the email address on your account. Continued use after the notice period constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the courts of Delaware. If you are a consumer in the EU, this does not affect mandatory consumer protections under your local law.
